    1. Acceptance of Terms

    By accessing or using the PsyenceFlow platform, website, and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services. These Terms constitute a legally binding agreement between you and PsyenceFlow ("we," "us," or "our").

    2. Eligibility

    The Services are intended for use by licensed healthcare professionals, authorized clinical staff, and practice administrators. By using the Services, you represent and warrant that you are at least 18 years of age, possess any required professional licenses or credentials, and have the authority to enter into these Terms on behalf of yourself or your organization.

    3. Description of Services

    PsyenceFlow provides an AI-powered clinical assessment platform designed for behavioral health professionals. Our Services include, but are not limited to, AI-assisted clinical report generation, practice management tools, patient intake automation, scheduling, billing support, and related features. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.

    4. Account Registration & Security

    • You must provide accurate, complete, and current information when creating an account.
    • You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
    • You agree to notify us immediately of any unauthorized use of your account or any other security breach.
    • We reserve the right to suspend or terminate accounts that violate these Terms or compromise platform security.

    5. Acceptable Use

    You agree not to:

    • Use the Services for any unlawful purpose or in violation of any applicable laws or regulations.
    • Access or use the Services to process data for purposes not authorized under your agreement with us.
    • Attempt to gain unauthorized access to any part of the Services, other accounts, or related systems.
    • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the platform.
    • Introduce viruses, malware, or other harmful code into the Services.
    • Resell, sublicense, or redistribute the Services without our prior written consent.
    • Use the AI-generated reports as a sole basis for clinical decisions without independent professional judgment.

    6. Clinical Disclaimer

    PsyenceFlow's AI-powered tools are designed to assist licensed healthcare professionals and are not a substitute for professional clinical judgment. All AI-generated reports, assessments, and recommendations should be reviewed, validated, and approved by a qualified clinician before use in patient care. PsyenceFlow does not provide medical advice, diagnosis, or treatment. The treating clinician retains full responsibility for all clinical decisions.

    7. HIPAA & Data Protection

    PsyenceFlow operates as a Business Associate under HIPAA. We will enter into a Business Associate Agreement (BAA) with each Covered Entity prior to processing any Protected Health Information (PHI). Both parties agree to comply with all applicable provisions of HIPAA, including the Privacy Rule, Security Rule, and Breach Notification Rule. Our data handling practices are further described in our Privacy Policy.

    8. Intellectual Property

    All content, features, functionality, software, designs, trademarks, and other intellectual property associated with the Services are owned by PsyenceFlow or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. You retain ownership of any patient data and clinical content you input into the platform.

    9. Fees & Payment

    • Certain features of the Services may require a paid subscription. Pricing details are available on our Pricing page.
    • Fees are billed in advance on a recurring basis (monthly or annually) unless otherwise agreed.
    • All fees are non-refundable except as expressly stated in your subscription agreement or required by applicable law.
    • We reserve the right to change pricing with at least 30 days' prior written notice.

    10. Termination

    Either party may terminate these Terms at any time with written notice. We may suspend or terminate your access immediately if you breach these Terms or engage in conduct that may harm PsyenceFlow, other users, or third parties. Upon termination, your right to use the Services ceases immediately. We will provide a reasonable period for you to export your data, subject to applicable legal and regulatory requirements.

    11. Limitation of Liability

    To the maximum extent permitted by applicable law, PsyenceFlow and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or related to your use of the Services. Our total aggregate liability shall not exceed the amount you paid to PsyenceFlow in the twelve (12) months preceding the claim.

    12. Disclaimer of Warranties

    The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

    13. Indemnification

    You agree to indemnify, defend, and hold harmless PsyenceFlow and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

    14. Governing Law & Dispute Resolution

    These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless otherwise required by law.

    15. Changes to These Terms

    We may revise these Terms from time to time. Material changes will be communicated via email or a prominent notice on our website at least 30 days before they take effect. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.
